These Terms & Conditions (“Terms”) govern your access to and use of the website at amp-lif-ai.com (the “Site”) and the Amplifai program information, applications and resources made available through it (together, the “Services”). The Site is operated by NZmark Pte Ltd (“NZmark”, “we”, “us”). By using the Site you agree to these Terms. If you do not agree, do not use the Site.

1. About Amplifai

Amplifai is a multi-year MedTech innovation program operated by NZmark, delivered in collaboration with the Asia Pacific Medical Technology Association (“APACMed”) and ecosystem partners. Information on the Site about the program, cohorts, partner and sponsor opportunities and the APACMed MedTech Forum is provided for general information only and may change.

2. No offer or guarantee

Nothing on the Site is an offer, contract, investment solicitation, or a guarantee of selection, participation, results, funding, introductions or outcomes. Any forward-looking statements, target outcomes or illustrative results are aspirational and are not promises. Participation as an innovator, partner or sponsor is subject to separate written agreements and eligibility assessment.

3. Eligibility

You confirm you are at least 18 years old and able to form a binding contract, and that any information you submit is accurate and that you are authorised to submit it on behalf of any organisation you represent.

4. Applications, forms and submissions

Applications and enquiries are collected through third-party form and scheduling tools. When you submit an application, pitch materials, or other content (“Submissions”):

• You retain ownership of your Submissions and any intellectual property in them.

• You grant NZmark and its program partners a non-exclusive, royalty-free licence to access, store, review and evaluate your Submissions for the purpose of administering the program and considering you for participation.

• You represent that your Submissions do not infringe any third-party rights and do not contain confidential information you are not permitted to share. Do not submit information you regard as secret or trade-restricted; evaluation is on a non-confidential basis unless a separate NDA is signed.

• We are under no obligation to review, use, return or keep any Submission, and may decline any applicant at our discretion.

5. Intellectual property

The Site and its content (text, graphics, logos, the Amplifai name and marks, layout and software) are owned by or licensed to NZmark and are protected by law. The APACMed name and logo and any partner/sponsor marks remain the property of their respective owners and are used with permission. You may view and print Site content for your own non-commercial reference only. You may not copy, republish, scrape, frame or create derivative works without our prior written consent.

6. Acceptable use

You agree not to:

• use the Site unlawfully, or in breach of the Singapore Computer Misuse Act or other applicable law;

• upload malicious code, attempt to gain unauthorised access, or disrupt the Site or its underlying services;

• submit false, misleading or infringing material; or harvest data about other users.

7. Third-party links, tools and services

The Site links to and relies on third-party services (including website hosting, online forms, email, analytics and development tooling). We do not control and are not responsible for third-party sites or services, and your use of them is governed by their own terms and privacy policies.

8. No professional advice

Site content is general information and is not legal, financial, medical, regulatory or investment advice. You should obtain your own professional advice before acting.

9. Disclaimers

The Site and Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law, including warranties of accuracy, availability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, NZmark and its officers, employees, partners (including APACMed) and suppliers will not be liable for any indirect, incidental, special or consequential loss, or loss of profits, data, goodwill or opportunity, arising from your use of the Site or Services. Our total aggregate liability arising out of or in connection with the Site is limited to SGD 100. Nothing in these Terms excludes liability that cannot be excluded under Singapore law.

11. Indemnity

You agree to indemnify NZmark against claims, losses and costs arising from your breach of these Terms or misuse of the Site.

12. Privacy

Our handling of personal data is described in the Privacy Policy (Part B) and Cookie & Consent Policy (Part C), which form part of these Terms.

13. Changes

We may update the Site and these Terms at any time. Changes take effect when posted. Continued use after changes means you accept the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of Singapore. The parties submit to the exclusive jurisdiction of the Singapore courts, or, if elected by NZmark, to arbitration administered by the Singapore International Arbitration Centre (SIAC) in Singapore in English.
